Terms and Conditions
These Terms and Conditions apply to OpsForge Tech service engagements unless a signed proposal, quote, statement of work, or written agreement says otherwise.
Scope and order of documents
Specific client work is governed by the applicable proposal, quote, statement of work, written agreement, change order, or other accepted project terms. If there is a conflict, the more specific written agreement for the project controls over these general terms.
OpsForge Tech is an Ottawa, Ontario, Canada technology services practice providing services such as automation, API and web integrations, AI-assisted architecture workflows, custom system plugins, CloudSec / DevOps advisory, and operational readiness support.
Proposals and statements of work
Project scope, deliverables, milestones, assumptions, fees, payment terms, timelines, acceptance criteria, and dependencies should be documented before work begins. Estimates and timelines depend on timely access, decisions, feedback, and accurate information from the client.
OpsForge Tech may decline, pause, or rescope work that is outside the agreed scope, technically unsafe, legally inappropriate, dependent on unavailable access, or materially different from the assumptions used to prepare the engagement.
Fees, expenses, and payment
Fees, billing schedule, taxes, reimbursable expenses, and payment terms are set out in the applicable proposal, quote, invoice, or written agreement. Unless otherwise agreed, invoices are due according to the invoice terms.
Late payment may result in paused work, delayed delivery, suspension of support, or collection of amounts owed, subject to applicable law and any written agreement between the parties.
Client responsibilities
Clients are responsible for providing timely access, approvals, accurate information, credentials, business decisions, technical contacts, stakeholder feedback, test data, and review cycles needed to complete the work.
Clients are responsible for their own business decisions, regulatory obligations, production approvals, internal policies, backup practices, account ownership, and final acceptance of how systems are used in their environment.
Access and credentials
Access should be limited to the work required. Temporary credentials, delegated users, least-privilege permissions, multi-factor authentication, and revocation after completion are preferred.
Clients should not provide unnecessary secrets, regulated data, personal information, or production access unless needed for the engagement. OpsForge Tech may request that access be changed, narrowed, rotated, or revoked where appropriate.
Changes in scope
Requests outside the agreed scope may require a revised estimate, change order, additional fees, adjusted timelines, or a separate engagement. OpsForge Tech is not required to perform out-of-scope work unless agreed in writing.
Confidentiality
Confidential information should be handled with reasonable care and used only for the agreed work, subject to any written agreement between the parties. Confidentiality obligations do not apply to information that is public, independently developed, already known without restriction, or lawfully received from another source.
Data, security, and regulated information
OpsForge Tech applies reasonable care when working with client systems and information. However, no consulting service, website, software, network, or integration can be guaranteed completely secure or error-free.
Unless expressly agreed in writing, clients should not provide regulated, highly sensitive, or legally restricted data. If such data is required for a project, the parties should agree in writing on handling expectations before it is shared.
Third-party services and platforms
Projects may involve third-party hosting, cloud platforms, APIs, plugins, email providers, analytics tools, repositories, automation platforms, or other services. Third-party services are governed by their own terms, pricing, availability, privacy practices, and security controls.
OpsForge Tech is not responsible for third-party outages, platform changes, pricing changes, rate limits, vendor bugs, account restrictions, or decisions made by third-party providers.
Deliverables and acceptance
Deliverables are reviewed against the agreed scope and acceptance criteria. A deliverable may be considered accepted when the client approves it, uses it in production, fails to identify material non-conformities within the agreed review period, or otherwise indicates acceptance.
Minor issues, preference changes, future enhancements, or out-of-scope requests do not prevent acceptance of work that substantially matches the agreed scope.
Intellectual property
Unless otherwise agreed in writing, clients receive the rights to use final deliverables created and paid for under the applicable engagement for their internal business purposes. OpsForge Tech retains ownership of pre-existing materials, general know-how, reusable methods, templates, tooling, snippets, frameworks, processes, and non-client-specific components.
Open-source or third-party materials remain subject to their applicable licenses and terms. Client materials remain owned by the client or their licensors.
Support and maintenance
Support, monitoring, maintenance, warranty periods, service levels, and future changes are included only when agreed in writing. Otherwise, work after delivery or acceptance may require a new engagement or additional fees.
No guaranteed outcomes
OpsForge Tech may provide recommendations, implementation work, documentation, prototypes, automation, integrations, readiness reviews, or advisory services, but does not guarantee any particular business outcome, security result, compliance result, uptime level, search ranking, revenue result, or third-party approval unless expressly agreed in writing.
Professional judgment and AI-assisted workflows
Where AI-assisted engineering or Codex-assisted workflows are used, they are treated as support tools within a human-reviewed process. Clients remain responsible for reviewing and approving outputs before relying on them in their business or production environment.
Suspension and termination
Either party may terminate or pause work as permitted by the applicable agreement. OpsForge Tech may suspend work for non-payment, unavailable access, unsafe instructions, material scope changes, abusive conduct, or legal or compliance concerns.
Fees for completed work, committed time, non-cancellable expenses, and approved deliverables remain payable unless otherwise agreed in writing.
Disclaimer
Except as expressly stated in a written agreement, services and deliverables are provided on an "as is" and "as available" basis. OpsForge Tech disclaims warranties to the maximum extent permitted by applicable law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by applicable law, OpsForge Tech will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or third-party platform failures arising from or related to the services.
Unless a written agreement states otherwise, OpsForge Tech's total liability for a service engagement is limited to the fees paid to OpsForge Tech for the specific services giving rise to the claim.
Indemnity
Clients are responsible for claims, losses, damages, costs, or expenses arising from client-provided materials, client instructions, misuse of deliverables, third-party rights violations, unlawful use, or failure to comply with applicable obligations.
Governing law
Unless otherwise agreed in writing, these Terms and Conditions and related service engagements are governed by the laws of Ontario, Canada and the applicable laws of Canada. Courts located in Ontario will have jurisdiction where legally permitted.
Changes to these terms
OpsForge Tech may update these Terms and Conditions from time to time. The updated version will be posted on this page. Specific signed agreements or accepted statements of work continue to control the work they cover.
